Position Ov
erviewWe seek a highly capable full-time Lead Counsel to assume General Counsel level responsibilities. The ideal candidate will possess 8–12 years of corporate legal experience and strong proficiency in Artificial Intelligence (AI) legal tools (i.e. Spellbook, Luminance, Gemini, etc.). This role will join our leadership team and play a pivotal role in safeguarding ZOLA’s interests, enabling business growth, and ensuring strong gover
nance.

- ilitiesRepresent ZOLA in all legal matters and ensure the company’s best interests are protected and advanced in good faith across all jurisdi
- ctions.Serve as a trusted legal advisor to the Leadership Team by providing accurate, timely, and commercially sound legal guidance on a broad range of corporate, operational, regulatory, and strategic m
- atters.Lead high-stakes international transactions across emerging markets, including commercial contracts, financing arrangements, licensing, partnerships, M&A activities, and equity transactions, ensuring optimal risk allocation and business prot
- ection.Draft, review, negotiate, and maintain operational and commercial agreements across ZOLA’s various jurisdictions, including customer leases, supplier agreements, contractor agreements, mobile money provider agreements, and other strategic business con
- tracts.Proactively identify, assess, and mitigate legal and regulatory risks through legal research, legislative analysis, compliance monitoring, and practical risk-management stra
- tegies.Oversee litigation, disputes, administrative proceedings, environmental permitting matters, regulatory inquiries, and sector-specific legal processes, while effectively managing external counsel and ensuring cost-efficient legal s
- upport.Coordinate and manage external law firms engaged in due diligence, negotiations, transactions, project development, and dispute resolution to ensure high-quality and commercially effective legal ou
- tcomes.Serve as Company Secretary and strategic advisor to executive leadership on corporate governance, board matters, enterprise risk management, and compliance oblig
- ations.Provide legal oversight and subject matter expertise on Tanzanian law, including ensuring compliance with local regulatory filings, corporate requirements, and sector-specific legal oblig
- ations.Develop, implement, and maintain internal governance frameworks, legal policies, compliance procedures, and standardized legal documentation to support sound corporate governance and regulatory comp
- liance.Build and maintain centralized databases of contracts, corporate records, legal filings, and regulatory documentation to ensure effective legal operations and compliance tr

- d SkillsProven Legal Excellence: Bachelor’s Degree in Law (LLB or equivalent) with a strong track record managing complex cross-border corporate transactions and legal matters across multiple jurisd
- ictions.Comprehensive Legal Expertise: Strong knowledge of corporate and commercial law, including contracts, financing transactions, M&A, corporate governance, compliance, labor law, dispute resolution, intellectual property, and regulatory
