Assistant General Counsel - REMOTE - Renewable Energy IPP

We’re working with a well-capitalized, high-growth renewable energy platform looking to hire a Assistant General Counsel to join their legal team. This is a key hire, reporting directly into the General Counsel, with broad exposure across project development, financing, and transactions.

This is an opportunity to step into a highly visible role where you’ll operate as a true right-hand to the GC, with the scope to shape the legal function as the business continues to scale.

Overview:

  • Project development & construction agreements
  • Power Purchase Agreements (PPAs)
  • Tax equity and debt financing
  • M&A transactions
  • Real estate matters
  • Broader commercial contracts

You’ll be expected to operate independently, while working closely with internal stakeholders across investment, development, construction, and business development teams. External counsel is engaged for larger transactions, but there is a clear push to bring more capability in-house over time.

Key Responsibilities:

  • Draft, review, and negotiate complex agreements, including: Purchase & Sale Agreements, Tax equity and debt financing agreements, PPAs, EPC and O&M agreements, Equipment supply and development services agreements
  • Support project development, M&A transactions, and due diligence processes
  • Play a key role in project finance transactions, working alongside lenders, tax equity providers, and advisors
  • Partner cross-functionally to assess and manage legal and commercial risk
  • Help build and refine internal legal processes, templates, and playbooks
  • Support dispute resolution and ongoing project-related matters

Requirements:

  • J.D. and active bar admission (any U.S. state)
  • 5–10 years’ legal experience
  • Strong background in renewable energy (law firm or in-house)
  • Experience with tax equity and M&A transactions is essential
  • Proven ability to negotiate complex commercial agreements
  • Solid understanding of project finance and the renewable energy project lifecycle
  • Comfortable operating autonomously in a lean, fast-paced environment
  • In-house experience with a developer, IPP, or EPC contractor preferred
